1. Governing Law & Jurisdiction
This Agreement is governed by the laws of the State of Queensland, Australia. The parties submit to the exclusive jurisdiction of Queensland courts.
2. Australian Consumer Law
Nothing in this Agreement excludes or limits any rights under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010).
HTMG’s liability for non-excludable guarantees is limited to resupply or cost of resupply.
3. Services
HTMG will provide the Services as set out in each Service Order with reasonable skill, care and in accordance with good industry practice.
4. Fees & Payment
Invoices are issued monthly in arrears and payable within 20 days.
Interest accrues on overdue amounts at 1.5% per month or the maximum permitted by law.
5. GST
All Fees are exclusive of GST under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
6. Intellectual Property
Background Materials remain the property of HTMG.
Foreground Materials transfer to the Client upon full payment.
7. Liability
HTMG’s total liability is limited to Fees paid in the preceding 12 months, except where liability cannot be excluded by law.
8. Termination
Either party may terminate on 90 days’ written notice.
